GENERAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS that M/s. ABC India (P) Ltd., having its Registered Office at X-2, 2^nd Floor, The Suites,  - Old Nagar, Road, New Delhi – 110 000 (here-in-after called the company) appoint Mr. STV, General Manager of the Company as its Project Manager cum Authorised Representative   (herein after called the Authorised Representative), in relation to execution of ‘Contract XYZ of ABC corporation, New Delhi’, to do all deed and acts, which the Company is authorised to do through an authorized representative, as may be required from time to time. The said authorised representative shall have the powers to do, as he may think proper and expedient in the best interest and on behalf of the company, the following:

1. Enter into, make, sign all such agreements, receipts, payments and contracts, etc. and to execute and perform all obligations and receive and accept all benefits for and on behalf of the company.
2. Opening, operating and closing of bank account(s), and to draw, accept, endorse, negotiate, retire, pay or satisfy any bills of exchange, promissory notes, hundis, cheques, drafts etc.
3. Making application(s) for registration, etc. with various Government authorities to comply with the applicable regulations related with the execution of the Contract, and to represent the company before any Department of the State Government or the Central Government , or before any local authorities
4. Appoint, suspend or dismiss staff related to the Project,
5. Carry out business of the Project to best of his ability and capacity,
6. Purchase or otherwise acquire any movable property related to the Project.
7. Adjust, settle, compromise and submit to arbitrators all accounts, debts, claims, demand, disputes and matters which may arise between Project Office and its business associates
8. To do all other works concerning with the affairs of the said Project

The company agrees and undertakes that all the works done by the said authorised representative shall be binding on it. Specimen signatures of whom are as below:
